Zhongnan Diamond Joint Stock Co., Ltd, which is incorporated from Zhongnan Diamond Co., Ltd held the first general meeting of shareholders on August 26th 2009. The first board of director and supervisors were elected by open ballot. The new company has 0.45 billion shares which are held by nine shareholders that are Henan Zhongnan Industries Co., Ltd-63.64%; China North Industries Group Corporation-13.73%; Shanghai Xunbang Investment Co., Ltd-5.15%; Beijing Wisdom Science & Technology Development Co., Ltd-4.38%; other five people-13.11%.

Deputy director-Shi Honglai, vice director of asset operation department-Cao Runshan, Chief of asset operation department-Hu Hongjiang, Chief of asset management department- Duan Shuanggeng of China North Industries Group Corporation, General manager-Peng Zhouhong of Pacific Securities and all senior administrators of Nanyang Zhongnan Diamond Co., Ltd attended the meeting.

Deputy director-Shi Honglai hosted the meeting. Vice director-Cao Runshan made a passionate speech. The meeting reviewed and passed the preparations, bill and principles of joint stock company. Nine shareholders, board of director consisted of three independent directors and board of supervisors consisted of five supervisors were elected on the following shareholder meeting. The period of board of director and supervisors are respectively 3 years.

Shi Honglai is elected as chairman, Jia Pan general manager, vice-manager Li Yushun, Lu Chanhua, Liu Jie, Chief accountant Shi Lihua on the first board meeting. There are four special committees: strategies committee, audit committee, nomination committee, salary and assessment committee. Zhou Ziping was elected as chairman of board of supervisors on the first board meeting.
